1. Introduction & General Terms

These Terms and Conditions (“Terms”) govern the purchase, sale, delivery, and installation of goods and services supplied by Direct Storage Systems (“we”, “us”, “our”) to the customer (“you”, “the Customer”), whether ordered online via our website, over the phone, via email, or in person at our North Geelong warehouse.

By accessing our website, placing an order, paying a deposit, or accepting a written quotation/invoice, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Quotations, Pricing & Orders

• Quotations: Written quotations are valid for 30 days from the date of issue, unless otherwise specified in writing. Prices are subject to revision thereafter due to fluctuations in material, manufacturing, or freight costs.
• Pricing & GST: All prices displayed on our website or quoted in writing are in Australian Dollars (AUD) and are subject to Goods and Services Tax (GST), which will be clearly itemised on invoices and during checkout.
• Order Acceptance: An order is deemed accepted only once confirmed in writing by Direct Storage Systems and any required deposit or upfront payment has cleared. We reserve the right to correct any clerical, pricing, or typographical errors on our website, invoices, or quotes.

3. Payment Terms

• Standard / Online Purchases: Payment in full is required prior to the dispatch of goods or collection from our North Geelong warehouse.
• Custom & Engineered Projects (Mezzanines / Large Fitouts): A non-refundable deposit (typically 30%–50%) is required upon order confirmation to commence engineering, drafting, or custom procurement. The remaining balance must be paid in full prior to dispatch or upon completion of installation as per the agreed contract schedule.
• Approved Commercial Trade Accounts: Invoices for approved account holders must be settled strictly within the agreed trading terms (e.g., 30 days from invoice date). Late payments may incur interest charges and administrative fees.

4. Delivery & Site Access

• Delivery Zones: We deliver across Geelong, the Surf Coast, Western Melbourne, and regional Victoria, or via third-party freight carriers Australia-wide.
• Freight & Offloading: Standard deliveries are to the kerbside or loading dock only. It is the Customer’s responsibility to ensure adequate site access for delivery vehicles (including heavy trucks) and to provide appropriate equipment (e.g., forklift) and personnel to safely unload palletised or oversized freight, unless tailgate delivery or mechanical offloading has been explicitly quoted and arranged in advance.
• Redelivery Fees: If a delivery cannot be completed due to restricted site access, absence of an authorised receiver, or lack of unloading equipment, any re-delivery, storage, or redirection fees charged by freight carriers will be payable by the Customer.
• Warehouse Pickup (Click & Collect): Pickups from our North Geelong facility must be arranged during standard business hours. Customers must present order confirmation and ensure their vehicle/trailer is legally rated and secured to transport heavy industrial goods.

5. Title, Risk & Inspection

• Passing of Risk: Risk of loss or damage to goods passes to the Customer upon delivery to the nominated site or upon collection from our warehouse.
• Retention of Title: Legal and equitable ownership of all goods remains with Direct Storage Systems until full cleared payment of all outstanding amounts has been received. We reserve the right to repossess any goods for which payment is overdue.
• Inspection & Claims: The Customer must inspect all goods immediately upon delivery or collection. Any claims for shortages, damaged components, or incorrect items must be reported in writing within 48 hours of receipt, accompanied by clear photographic evidence.

6. Installation & Structural Safety (AS 4084)

• Site Preparation: Where installation services are contracted, the Customer must ensure the site is clear, level, structurally sound, swept clean, and free of obstructions, debris, or other trades during the installation period.
• Floor Slabs & Clearances: The Customer is responsible for verifying that the concrete slab, overhead clearance, and building structure are adequate to support the intended live and dead loads of pallet racking or mezzanine platforms.
• Compliance: Pallet racking installations carried out by Direct Storage Systems are erected in accordance with Australian Standard AS 4084 and supplied with certified Safe Working Load (SWL) signage. Modifying beam heights, removing components, or relocating uprights without engineering re-certification may void compliance and safety ratings.

7. Warranties & Australian Consumer Law

• Consumer Guarantees: Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.
• Manufacturer & Structural Warranties: Commercial warranties (ranging from 3 to 10 years depending on the specific product line) cover defects in materials and manufacturing under normal commercial use.
• Warranty Exclusions: Warranties do not cover:
  Damage resulting from forklift impact, overloading beyond rated Safe Working Loads (SWL), incorrect assembly/installation by third parties, or failure to perform recommended annual safety audits.
  Normal wear and tear, cosmetic surface scratches, corrosion caused by improper outdoor exposure (unless specified as hot-dipped galvanised), or unauthorized structural alterations.

8. Returns, Exchanges & Cancellations

• Change of Mind: We do not automatically accept returns for change of mind. Any approved return of standard, unused, uninstalled stock is subject to a 20% restocking fee, and all return freight costs are the responsibility of the Customer.
• Custom & Made-to-Order Goods: Orders for custom-cut timber, custom-sized workbenches, engineered structural mezzanines, specialized racking components, or non-standard powder-coated finishes cannot be cancelled, returned, or refunded once production or fabrication has commenced.

9. Limitation of Liability

To the maximum extent permitted by law, Direct Storage Systems shall not be liable for any indirect, incidental, special, or consequential damages—including loss of profits, downtime, business interruption, or loss of inventory—arising from the supply, delay, installation, or use of any products or services.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria.
